E 4 Engineering - Terms & Conditions of Sale


  1. Acceptance of Terms

    • By accepting this quote, the client explicitly waives its own standard terms and conditions, even if submitted after these terms. Any deviation from these terms must be expressly agreed to in writing.

  2. Pricing & Validity

    • All prices are in USD and valid for 15 days from the date of the quote.
    • Prices are based on current material and labor costs and may be subject to change.
    • This quote assumes work is conducted during normal working hours. Any overtime, delays, scope change or unforeseen circumstances may result in additional charges.
    • The quote is based on assumed layouts and specifications. The final price may be subject to adjustments due to on-site modifications required to accommodate unforeseen conditions or changes.

  3. Scope of Work & Liability

    • This quote covers only the work and materials explicitly mentioned. Any additional work will be quoted separately.
    • E 4 Engineering undertakes to provide services to the best of its ability within agreed timeframes. However, no obligation shall be considered a guarantee of results.
    • E 4 Engineering cannot be held liable for claims made by an end consumer against the client.

  4. Payment Terms & Late Payments

    • Invoices are payable on receipt, unless otherwise stated on the invoice or order.
    • Late payments will incur a fixed interest charge of 1% per month on the outstanding amount.
    • E 4 Engineering reserves the right to suspend services without prior notice in the event of late payment.
    • If payment remains outstanding for more than 60 days, E 4 Engineering may engage a debt recovery service, with all legal expenses payable by the client.

  5. Withholding Tax & International Payments

    • Any withholding tax applicable in the client’s country is the sole responsibility of the client and must be paid directly to the relevant tax authority.
    • Under no circumstances shall E 4 Engineering be liable for costs related to a country’s tax legislation. The full invoiced amount remains payable to E 4 Engineering.

  6. Delivery, Lead Time & Claims

    • Delivery and completion times are estimates and may be affected by material availability, workload, or unforeseen circumstances. E 4 Engineering is not liable for delays beyond its control.
    • Any claims must be submitted in writing via recorded delivery to E 4 Engineering’s registered office within 8 days of goods delivery or service completion.

  7. Ownership & Risk

    • Ownership of goods remains with E 4 Engineering until full payment is received.
    • Risk transfers to the client upon delivery of finished product, delivery to site for installation or installation.

  8. Jurisdiction & Governing Law

    • All contractual relations will be governed exclusively by Zimbabwe law.
